Vivmark Merger Puts $3.35B of NYC Transfers on City Books

Two city transfer-tax filings tied to the Aug. 17 Equity Residential and AvalonBay merger cover 48 New York lot records and $3.35B in reported consideration.

Equity Residential and AvalonBay have now put roughly $3.35 billion of New York City apartment holdings through the city’s transfer-tax system, and for developers it shows where the combined company’s Manhattan, Brooklyn and Queens rental stock now sits.

Why it matters

The two filings are tied to the merger that closed Aug. 17. AvalonBay’s 8-K of that date reports completion of the deal, with Equity Residential renamed Vivmark Residential and ERP Operating Limited Partnership surviving. These are not arm’s-length sales, and the dollar figures are what the filings report, not prices a buyer bid. For anyone chasing NYC rental assets or land, the filings are the first public record of how the two portfolios were re-papered. The numbers

The first filing, doc 2026091001156001, runs from Equity Residential to AvalonBay Communities for $2,126,354,644 and lists 33 lot records. The second, doc 2026091100373001, runs from AvalonBay to ERP Operating Limited Partnership for $1,226,506,110 and lists 15. Both carry a document date of Aug. 17 and were recorded Sept. 22 and Sept. 21. Counting the lot rows ourselves, the first filing has 25 in Manhattan and 8 in Brooklyn, including addresses on Columbus Avenue, North 3rd Street and Avenue of the Americas. The second has 7 in Manhattan, 3 in Brooklyn and 5 in Queens, including West 52nd Street, Willoughby Street and 48th Avenue. Some addresses repeat across rows, so 48 is lot records, not distinct buildings. Per-lot values are not broken out, so we cannot compute a price per unit or per square foot.

What’s next

The 8-K says AvalonBay contributed certain assets to ERP Operating Partnership in exchange for partnership units, which fits the second leg. The record does not explain the first leg, and we are not inferring it. Watch for the recorded deeds or other documents behind these filings to hit ACRIS, and for the combined company’s first sales or recapitalizations of any of these properties.
