Nasdaq's Stewards Bids $240M in Stock for Two Broward Complexes

Stewards Inc, a company that began trading on the Nasdaq Capital Market on September 10, 2026, is negotiating to acquire two Broward County apartment complexes for a combined $240 million, but wants to pay for them entirely in restricted company stock at $3.00 a share instead of cash. The non-binding letters of intent cover PIXL at Plantation, a roughly 330-unit luxury community, and Envy Pompano Beach, a roughly 214-unit property, a combined 544 units in South Florida. Nothing here is a signed deal. Stewards itself says both acquisitions remain subject to due diligence, definitive agreements and customary closing conditions, with no assurance either one closes.

Why it matters

An all-stock, no-cash bid for two stabilized Broward apartment properties is a financing-scarcity signal other undercapitalized South Florida multifamily owners can price against. When a buyer offers paper instead of cash for real assets, it usually means cash is expensive or unavailable to that buyer, not that sellers are getting a better deal. Owners fielding similar offers now have a live comparable: a Nasdaq-listed buyer, five days into trading, pricing 544 Broward units at $3 a share in restricted stock rather than wiring funds.

The numbers

The $240 million aggregate implied value includes existing property-level debt on both complexes, so it is not $240 million in fresh equity changing hands. Stewards itself cautions that its $3.00 share price “does not represent the amount of stock consideration to be issued,” meaning the actual share count tied to the deal has not been disclosed. As of September 11, Stewards had 211,149,963 shares outstanding, but only 2,088,473, about 1 percent, were freely tradable, against a market capitalization near $625 million. That is a thin float for a currency a seller would need to convert to cash.

What’s next

Watch for definitive purchase agreements on PIXL at Plantation and Envy Pompano Beach, which would convert these letters of intent into a real transaction with disclosed share counts and lockup terms. Until then, this is a proposal, not a sale, and the gap between Stewards’ $625 million market cap and its 1 percent float is the number any seller weighing restricted stock should be running before signing.
