Vertiv to Pay Up to $2.6B for UtilityInnovation Group
Vertiv agreed to pay $1.45B upfront and up to $1.15B more for UtilityInnovation Group, a microgrid and behind-the-meter power designer for AI data centers.
Vertiv Holdings Co, the publicly traded maker of data center power and cooling equipment, agreed to acquire UtilityInnovation Group for $1.45 billion in cash upfront, with up to another $1.15 billion tied to EBITDA targets over the following two years, according to an 8-K filed with the SEC. The maximum consideration, if UIG hits those targets, is approximately $2.6 billion.
Why it matters
UIG designs microgrid controls, onsite generation orchestration, and behind-the-meter power architecture, the systems that let a data center generate or route power without waiting on a full utility interconnection. Vertiv’s CEO said the deal extends the company’s reach “to the utility interconnect and onsite power sources, creating a coordinated architecture from source to chip.” For anyone bidding or scheduling a national data center build, that is the tell: the equipment maker buying its way upstream toward on-site generation is a bet that grid interconnection queues, not construction labor or materials, are now the binding constraint on delivery dates. A GC pricing a hyperscale project should expect power architecture and interconnection timing to carry more schedule risk than the shell itself.
The numbers
The $1.45 billion base price values UIG at roughly 13 times its projected 2027 EBITDA. The earnout, up to $1.15 billion more, is staged across 12- and 24-month performance windows after closing, meaning Vertiv is paying a premium multiple up front and betting the rest on UIG actually delivering the growth. UIG operates out of Raleigh, North Carolina, and Dublin, Ireland, and was founded in 2020.
What’s next
The transaction is expected to close in the fourth quarter of 2026, subject to regulatory approval and customary closing conditions. Vertiv has not disclosed integration plans or a combined product roadmap beyond the stated goal of a single power architecture spanning grid to chip. Developers and GCs sourcing microgrid or behind-the-meter equipment for AI data center projects should watch for how quickly UIG’s backlog and Vertiv’s sales channel get combined, since a slow integration could show up as delivery delays on projects already specifying UIG gear.
