Brookfield, SWI Group Form $694M Multifamily JV With Varia
Varia US Properties, managed by SWI Group's Stoneweg, moves 13 of 17 US multifamily assets into a $694M JV with Brookfield.
Varia US Properties AG, the Swiss-listed multifamily investor externally managed by Stoneweg, an SWI Group company, has signed a definitive agreement with affiliates of Brookfield Asset Management to move 13 of its 17 US multifamily properties into a new joint venture with an aggregate gross asset value of roughly $694 million.
Why it matters
The deal is a recapitalization, not an outright sale of the company. Varia keeps a minority stake and the management fee stream on the properties going into the JV, while Brookfield puts fresh capital to work in a sector it has been actively rebuilding a book in this year. For multifamily owners with aging or capital-intensive assets, the structure is a template: bring in an institutional partner to fund lease-up and capex, then recycle sale proceeds into a smaller number of higher-quality holdings rather than selling the whole platform at once.
The numbers
The JV is split into two vehicles. Brookfield takes 90% of a $178.4 million, four-building portfolio, with Varia holding the remaining 10% and continuing to manage the assets. The other nine buildings, valued at $515 million and totaling 3,052 units, go into a second vehicle in which Brookfield holds 40% of the equity. Across both vehicles, the properties comprise 4,112 units spread over nine states. Varia is set to receive $48.9 million in cash at closing, expected in the fourth quarter, and the partners are building in up to $200 million of additional equity capital for future acquisitions. Varia retains full, consolidated ownership of its four remaining properties, two of which it plans to sell separately. A wire report describing a “$469 million” Brookfield multifamily JV appears to be a garbled read of this same transaction: neither Varia’s ad hoc announcement nor the SWI Group press release supports that figure, and this story publishes only the $694 million aggregate gross asset value stated in both.
What’s next
Varia has said it will actively invest in the JV properties to raise their value ahead of planned disposals, with sale proceeds recycled into acquisitions of higher-quality multifamily assets. The move continues a run of US real estate recapitalizations and joint ventures for Brookfield this summer, following its LXP Industrial take-private and its outpatient medical JV with Healthpeak, both announced in late July.
