OPKO Health’s BioReference Health subsidiary has agreed to sell its clinical and anatomic pathology lab testing business, including the proprietary 4Kscore prostate cancer test, to Laboratory Corporation of America Holdings for $722 million in cash, according to an 8-K the Miami-based company filed with the SEC. The South Florida Business Journal first reported the deal on Oct. 15, citing the same asset sale.

Why it matters

OPKO Health is headquartered at 4400 Biscayne Blvd. in Miami, making this a South Florida-based company shedding a major piece of its diagnostics arm to the country’s largest lab testing operator. The assets include BioReference’s women’s health, urology and corrections testing lines, the kind of recurring diagnostic volume that drew Labcorp’s interest. For OPKO, the sale narrows its footprint toward its remaining pharmaceutical and diagnostics lines while a Delaware-chartered buyer absorbs a national testing book. The South Florida Business Journal reported the sale price and said the deal could reshape OPKO’s balance sheet, a characterization the outlet attributed to the filing rather than independent confirmation.

The numbers

The Asset Purchase Agreement, dated Oct. 14, 2026 and filed as Exhibit 2.1 to OPKO’s 8-K the next day, sets the price at $722,000,000 in cash at closing, subject to adjustments based on closing revenues. Labcorp will also pay up to $150,000,000 more in cash over as long as ten years, tied to sales performance of the 4Kscore test. The filing states the transaction is “not subject to a financing condition.” Closing still requires continued accuracy of representations and warranties, performance of covenants, and clearance under the Hart-Scott-Rodino antitrust review. Either side can walk away if the deal has not closed by April 14, 2027, an outside date that can be extended by mutual agreement.

What’s next

The next confirming document would be a Labcorp 8-K mirroring the same agreement, or a joint closing announcement once HSR clearance comes through. Watch OPKO’s subsequent filings for how the company redeploys the $722 million, and whether the 4Kscore earnout structure shows up in future investor guidance.
