Millrose Properties (NYSE: MRP), the land bank Lennar spun off, was sued on Oct. 9 in federal court in West Palm Beach. The complaint alleges investors were misled about how the company operates, according to the docket as pulled by our records desk and The Real Deal, which is walled to us and reported on the suit Oct. 12.

Why it matters

For builders and lot sellers, the case goes at the land-bank model itself. Many developers rely on a third party to hold lots and release them to a homebuilder over time. We reported today on Lennar taking down Sunrise Solterra lots from a different land banker, a reminder of how routine these structures are across South Florida.

The numbers

Case 9:26-cv-81386 was filed Oct. 9. The plaintiffs are Leon and Sylvia Rubenstein. The defendants are Millrose, CEO Darren Richman and Garrett Rosenblum. Counsel is Joshua H. Eggnatz.

The complaint alleges a class of people who bought Millrose stock from Feb. 7, 2025, the spin-off date. It says the truth emerged Oct. 2, 2025, when a Hunterbrook Media report said Millrose bought homes from Lennar and rents them at a loss. The class end date as printed in the complaint is Oct. 2, 2026, which looks like a typo for 2025. We have not confirmed that.

These are allegations in a complaint, not findings. Nothing we could reach shows a ruling, a lead-plaintiff order or a company response.

What’s next

Securities class actions typically move to a lead-plaintiff appointment before any substantive ruling. We could not retrieve a Millrose 8-K or 10-Q addressing the suit, and we have not independently verified the Hunterbrook claims.

Developers selling lots to Millrose, or buying through it, should watch for the company’s answer to the complaint and any disclosure of how it describes its home-purchase activity. We will update when a filing or response appears.
