A South Florida Lender Is Foreclosing on a Company, Not a Building

AmDev's wire found $90M in South Florida commercial foreclosure auctions through Sept 28, including a rare case targeting an LLC stake, not the property.

A $6.44 million foreclosure judgment set for auction September 28 in Miami-Dade Circuit Court is not going after a building. Case number 2024-017395-CA-01 forecloses on a “membership interest,” the ownership stake in a limited liability company, rather than the real estate the LLC holds. The county’s own auction calendar lists the collateral that way, and it did not name the plaintiff or defendant in the portal we could reach. That is unusual enough to be the story: a lender collecting the entity itself instead of the dirt underneath it.

It is one of 15 active commercial foreclosure auctions AmDev’s distress wire found scheduled across Miami-Dade, Broward and Palm Beach counties over the next two weeks, worth a combined $90.1 million.

Why it matters

Most South Florida foreclosures end with a lender or a buyer taking title to a specific parcel. A membership-interest judgment instead transfers control of the ownership vehicle, which can carry different tax, liability and future-financing consequences than a deed. For a developer or investor tracking distress, it is a signal that a lender’s workout strategy has shifted toward the corporate structure rather than the asset.

The numbers

The fortnight’s biggest sale stays the $65.7 million stipulated judgment against multiple downtown Miami parcels, case 2024-017049-CA-01, which AmDev has covered before and which goes to auction September 16. A $4.84 million Palm Beach County commercial judgment, case 502025CA005312XXXAMB, sells September 22; the docket does not name the parties in the calendar record either. Four smaller Miami-Dade and Palm Beach commercial judgments, ranging $771,097 to $1.17 million and totaling roughly $3.94 million, are set for September 14.

What’s next

Auction dates in South Florida move routinely, and none of these four have judgment values above $1.2 million, so a continuance would not change the fortnight’s shape much. The September 28 membership-interest sale is the one worth tracking: if the buyer surfaces at auction, AmDev will identify the entity and what it controls.
